  1.        LEXIS-NEXIS Software License Agreement
  2.                                                  
  3. IMPORTANT -- READ CAREFULLY BEFORE INSTALLING
  4. -- This is a legally binding agreement ("Agreement") 
  5. between you and LEXIS-NEXIS, a division of Reed 
  6. Elsevier Inc., ("LEXIS-NEXIS") and supersedes any 
  7. purchase order placed by you. These are the only 
  8. terms and conditions applicable to your rights 
  9. with respect to the computer programs and 
  10. documentation, in computer accessible or paper 
  11. form, ("Software") and LEXIS-NEXIS's obligations 
  12. to you.  Installing the Software indicates your 
  13. acceptance of this Agreement.   If you do not 
  14. agree to the terms of this Agreement do not install
  15. the Software.
  16.                                                  
  17. License
  18. By acquiring the Software, you have obtained the 
  19. non-exclusive right to use the Software on a 
  20. single (non-networked) computer solely in 
  21. accordance with this Agreement.  You may make a 
  22. single extra copy of the Software for your 
  23. incidental use on a secondary portable or home 
  24. computer while away from the primary computer or 
  25. workstation upon which the Software resides or has 
  26. access to the functions of the Software, as long 
  27. as the Software is not used or accessed on both 
  28. the primary computer or workstation and the 
  29. secondary computer or workstation simultaneously.  
  30. You may make a single backup copy of the Software.  
  31. Notwithstanding the foregoing, you are not licensed 
  32. to use the Software to provide on-line or similar 
  33. database services to third parties.
  34.                                                  
  35. Restrictions
  36. You may not and you may not permit others to (a) 
  37. disassemble, decompile or otherwise derive source 
  38. code from the Software, (b) reverse engineer the 
  39. Software, (c) modify or prepare derivative works 
  40. of the Software, (d) copy the Software, except as 
  41. expressly permitted in this Agreement, (e) rent or 
  42. lease the Software, (f) use the Software in any 
  43. manner that infringes the intellectual property or 
  44. other rights of another party, or (g) transfer or 
  45. assign the Software or any copy thereof to another 
  46. party. 
  47.                                                  
  48. Ownership
  49. LEXIS-NEXIS and its licensors own the Software and 
  50. all trade secrets, copyrights, patents and other 
  51. intellectual property rights therein, which you 
  52. agree to preserve.
  53.                                                  
  54. Limited Warranty
  55. For a period of 30 days from the date the Software 
  56. is acquired by you, LEXIS-NEXIS warrants that the 
  57. media upon which the Software resides will be free 
  58. of defects that prevent you from loading the 
  59. Software on your computer. LEXIS-NEXIS's sole 
  60. obligation and your sole remedy under this warranty 
  61. is replacement of any defective media, provided 
  62. that you have given LEXIS-NEXIS notice of the 
  63. defect within such 30 day period. The Software 
  64. is licensed to you on an "AS IS" basis without any 
  65. warranty of any nature.  However, if you are not 
  66. satisfied with the Software, for any reason, you 
  67. may return it to the point of acquisition for a 
  68. credit or refund at any time prior to 30 days 
  69. after you acquired it.  You may not retain any 
  70. copies of the Software returned to LEXIS-NEXIS.  
  71. LEXIS-NEXIS DISCLAIMS ALL OTHER WARRANTIES, 
  72. EXPRESS OR LIMITED, INCLUDING THE IMPLIED 
  73. WARRANTIES OF MERCHANTABILITY AND FITNESS 
  74. FOR A PARTICULAR PURPOSE.
  75.                                                  
  76. Liability Limitations; Exclusive Remedies
  77. LEXIS-NEXIS SHALL NOT BE LIABLE FOR ANY 
  78. DAMAGE OR LOSS, WHETHER DIRECT, INDIRECT, 
  79. SPECIAL OR CONSEQUENTIAL (INCLUDING LOST 
  80. PROFITS), ARISING OUT OF OR RESULTING FROM 
  81. YOUR POSSESSION OR USE OF THE SOFTWARE 
  82. (INCLUDING DATA LOSS OR CORRUPTION), 
  83. REGARDLESS OF WHETHER SUCH LIABILITY IS 
  84. BASED IN TORT, CONTRACT OR OTHERWISE.  
  85. IF THE FOREGOING LIMITATION IS HELD TO 
  86. BE UNENFORCEABLE, THE MAXIMUM LIABILITY 
  87. OF LEXIS-NEXIS TO YOU SHALL NOT EXCEED 
  88. THE AMOUNT OF THE LICENSE FEES PAID BY 
  89. YOU FOR THE SOFTWARE.  THE REMEDIES 
  90. AVAILABLE TO YOU AGAINST LEXIS-NEXIS 
  91. UNDER THIS AGREEMENT ARE EXCLUSIVE.  
  92. SOME STATES DO NOT ALLOW THE LIMITATION 
  93. OR EXCLUSION OF IMPLIED WARRANTIES OR 
  94. LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL 
  95. DAMAGES, SO THE ABOVE LIMITATIONS OR 
  96. EXCLUSIONS MAY NOT APPLY TO YOU.
  97.                                                  
  98.                                                  
  99. U.S. Government Restricted Rights
  100. If the Software is acquired by the U.S. Government 
  101. or on its behalf, the Software is furnished with 
  102. RESTRICTED RIGHTS.  Use, duplication or 
  103. disclosure of the Software by the U.S. Government 
  104. and parties acting on its behalf is governed by, 
  105. and subject to the restrictions set forth in 
  106. subparagraph (c)(1)(ii) of the Rights in Technical 
  107. Data and Computer Software DFARS 252.227-7013 or 
  108. subparagraphs (c)(1) and (2) of the Commercial 
  109. Computer Software -- Restricted Rights at 48 CFR 
  110. 52.227-19, as applicable.  The Contractor/
  111. manufacturer of the Software is LEXIS-NEXIS, 
  112. 9443 Springboro Pike, Miamisburg, OH 45342, 
  113. (800) 528-1891.
  114.                                                  
  115. Miscellaneous
  116. Ohio law shall govern the interpretation and 
  117. enforceability of this Agreement.  This Agreement, 
  118. and your right to use the Software, will terminate 
  119. upon your breach of this Agreement.  If any 
  120. provision of this Agreement is held to be 
  121. unenforceable, then such unenforceable provision 
  122. shall be deemed stricken from this Agreement, and 
  123. the remaining provisions shall be enforced in 
  124. accordance with their terms.  In the absence of 
  125. a written agreement signed by you and LEXIS-NEXIS, 
  126. this Agreement is the complete agreement between 
  127. you and LEXIS-NEXIS with respect to the Software.
  128. This Agreement expressly supersedes and replaces 
  129. any other license agreement for the Software, 
  130. including but not limited to any agreement 
  131. appearing in any user's manual or referenced on 
  132. the Software installation screen, with the 
  133. exception of any agreement for the Software which 
  134. is in writing and signed by both you and 
  135. LEXIS-NEXIS.
